Dala PH – Terms of Service for Patients

Welcome to Dala! These Terms of Service ("Terms") govern your access to and use of the Dala mobile application ("App") and related services provided by Dala PH ("Dala", "we", "our", or "us"). By using the App, you agree to be bound by these Terms.

1. Acceptance of the Terms

By downloading, accessing, or using Dala, you affirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, do not use the App.

2. Eligibility

You must be at least 18 years old or have parental/legal guardian consent to use Dala. By using the App, you represent and warrant that you meet this requirement and that your use complies with all applicable local laws and regulations in the Republic of the Philippines.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your login credentials.
  • Notify us immediately of unauthorized use or suspected breach.

You are responsible for all activities that occur under your account.

4. Privacy

Your use of Dala is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information, including any health-related data. By using the App, you consent to the collection and use of your information as described in our Privacy Policy.

5. Push Notifications & Device Permissions

You agree that Dala may send you push notifications, in-app alerts, or emails as part of providing its services. You may control notification settings through your device or app settings.

You may also be asked to grant permissions to enable certain features. Declining such permissions may limit your use of some functions.

6. Limited License & Ownership

Dala grants you a personal, non-transferable, non-exclusive, revocable license to use the App solely for your own personal health tracking and wellness purposes.

All rights not explicitly granted are reserved by Dala. You may not copy, distribute, reverse-engineer, or exploit any part of the App or its content without prior written permission.

7. Prohibited Conduct

You agree not to:

  • Use the App for unlawful, harmful, or abusive purposes.
  • Impersonate another person or misrepresent your identity.
  • Interfere with the App's operation or access data not intended for you.
  • Upload harmful content (e.g., viruses, malware).
  • Use automated scripts to collect data or interact with the App.

We reserve the right to suspend or terminate your access if you violate these Terms.

8. Paid Services & Subscriptions

Certain features may be offered under paid plans or subscriptions. By subscribing, you agree to:

  • Pay the applicable fees.
  • Authorize recurring billing (if applicable).
  • Understand that fees are non-refundable except where required by law.

We reserve the right to change pricing or features at any time with reasonable notice.

9. Wellness Description (Not Medical Advice)

Dala provides wellness tracking and general mental health insights, but does not offer medical advice, diagnosis, or treatment. The information provided by the App is not a substitute for professional healthcare advice.

Always consult your physician, psychiatrist, or psychologist before making decisions about your mental health.

10. User Content & Community Standards

You may input content such as journal entries, mood logs, and feedback ("User Content"). You retain ownership of this content, but you grant Dala a limited license to use it for providing and improving our services.

You agree that your content:

  • Will be respectful and not defamatory, discriminatory, or threatening.
  • Will not include sensitive information about others without consent.
  • May be reviewed in anonymized form for research or improvement purposes.

11. Account Deletion & Data Erasure

You may delete your account at any time via the App settings. Upon deletion:

  • We will permanently erase your personal data, except where retention is required by law.
  • You will lose access to all features and saved content.

12. Indemnification

You agree to indemnify and hold harmless Dala, its affiliates, officers, and employees from any claims, losses, liabilities, damages, expenses, or legal fees arising out of:

  • Your violation of these Terms.
  • Your misuse of the App.
  • Your violation of any third-party rights.

13. Third Party Services & Links

Dala may integrate or link to third-party services (e.g., telehealth, analytics, calendar). We do not control or endorse these services and are not responsible for their content or practices.

Use of third-party services is at your own risk and subject to their terms and policies.

14. Modifications to the Terms

We may update these Terms periodically. We will notify users through the App or email. Continued use of the App after updates constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

16. Intellectual Property

All content, trademarks, logos, designs, features, graphics, and software used in connection with Dala are the intellectual property of Dala PH or its licensors. This includes, but is not limited to, the Dala name, logo, app design, proprietary algorithms, and text content.

You agree not to:

  • Copy, reproduce, modify, distribute, or create derivative works from any part of the App.
  • Use our branding without prior written consent.
  • Infringe on any third-party intellectual property rights while using the App.

All rights not expressly granted to you under these Terms are reserved.

17. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose,
  • Merchantability,
  • Non-infringement, and
  • Accuracy or reliability of results.

We do not warrant that:

  • The App will be uninterrupted or error-free,
  • Any content will be secure or free of harmful components,
  • The outcomes from using the App will be medically beneficial or accurate.

You use the App at your own discretion and risk.

18. Limitation of Liability

To the maximum extent permitted by law, Dala and its affiliates shall not be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages,
  • Loss of profits, data, or goodwill,
  • Damages resulting from use or inability to use the App,
  • Unauthorized access or alteration of your data.

Our total liability for any claim arising out of or relating to these Terms or your use of the App shall not exceed the amount you paid, if any, for the App in the past twelve (12) months.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

19. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

In the event of a dispute, the parties shall first attempt to resolve the matter amicably through good-faith negotiations. If unresolved, any dispute shall be submitted to mediation under the Philippine Dispute Resolution Center, Inc. (PDRCI) before pursuing legal action.

Venue for any legal action shall be Metro Manila, to the exclusion of all other venues.

20. Miscellaneous

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Dala.
  • No Waiver: Failure to enforce any provision shall not constitute a waiver of rights.
  • Severability: If any part of these Terms is found unenforceable, the remainder will remain in full force and effect.
  • Assignment: You may not transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.
  • Force Majeure: We are not responsible for delays or failure to perform due to events beyond our reasonable control (e.g., natural disasters, technical failures, or government restrictions).

21. Changes to the Terms

We may update or revise these Terms from time to time to reflect changes in legal, technical, or business requirements.

If changes are material, we will notify you via in-app alert, email, or other reasonable methods. Your continued use of the App after such updates constitutes acceptance of the revised Terms.
